Commercial Transactions


Overview

This course examines the legal principles governing commercial transactions in domestic and international business environments. Topics include contract formation and interpretation, performance and breach, remedies, sales of goods under the Uniform Commercial Code or comparable commercial legislation, warranties, risk of loss, shipment and delivery terms, negotiable instruments, payment systems, letters of credit, secured transactions, attachment and perfection of security interests, priority disputes, bankruptcy-related issues, and electronic commerce.

Students analyze statutes, regulations, case law, transactional documents, and business fact patterns. Applied exercises include contract review, negotiation of warranty and indemnity provisions, secured-creditor priority analysis, and preparation of a short legal memorandum. The course develops capacity to identify and resolve commercial legal issues, draft and interpret transaction clauses, advise on risk allocation, evaluate remedies and enforcement options, conduct statutory research, and communicate commercially practical recommendations.

  • Synthesize legal and commercial considerations into concise, well-supported advice and memoranda.
